1. Acceptance of Terms

By accessing or using Negativa (“Service”), operated by Image Negativa LLC (“Company”, “we”, “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Image Negativa (“Negativa”) is a visual research and reference tool for creative professionals. We aggregate and curate publicly available images to help you explore aesthetics, build mood boards, and communicate visual direction.

We are not a stock photo marketplace. We do not sell, license, or distribute images for commercial use. All images remain the property of their original creators or rights holders. Our Service provides:

  • Access to a curated image archive for reference and inspiration purposes
  • Semantic and aesthetic search functionality powered by AI
  • Image organization, boards, and collection features
  • Download capabilities for internal research use based on subscription tier

3. Permitted Use

Images accessed through Negativa are provided solely for non-commercial reference, research, and educational purposes. You may:

  • View images for creative inspiration and mood boarding
  • Create internal reference collections and decks within your team
  • Share collections with collaborators inside your organization
  • Use images as directional reference in creative briefs and pitches (with attribution)
  • Use images in non-commercial educational settings (talks, lectures, workshops)

3.1 Prohibited Uses

You expressly agree NOT to:

  • Use images in final commercial deliverables, advertisements, marketing assets, or published works
  • Claim ownership of any images
  • Redistribute, resell, sublicense, or re-upload images to other services or datasets
  • Use images in any way that infringes on third-party intellectual property rights
  • Use images in commercial campaigns, products, or paid media without a separate license from the rights holder
  • Scrape, crawl, or automatically download images in bulk
  • Reverse engineer our taste scoring or curation algorithms
  • Use the Service to train or improve competing visual search, stock, or AI models

To use any image in client work, commercial campaigns, or public distribution, you must license it directly from the photographer or rights holder. Where possible, we provide attribution and source links to make this easy.

4. Intellectual Property & Copyright

We do not claim ownership of the images in our archive. Images are sourced from publicly available platforms, creator portfolios, and ingest pipelines, and remain the property of their respective photographers, artists, or rights holders.

Negativa provides a curation, discovery, and research service. We operate under fair use principles and DMCA safe harbor as an information location tool. Our use is:

  • Transformative: images are used in the context of search, taste modeling, and research—not as a substitute for licensed stock.
  • Thumbnail/preview-focused: we primarily display reduced-size or preview images, not full-resolution stock masters.
  • Attribution-first: where available, we show photographer credit and link back to the original source.
  • Non-substitutive: users are instructed to license images directly from photographers for any commercial use.

5. User Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate registration information
  • Maintain the security of your account credentials
  • Notify us immediately of unauthorized access
  • Accept responsibility for all activity under your account

6. Subscription & Payments

Paid subscriptions are billed in advance on a monthly or annual basis. Subscriptions automatically renew unless cancelled before the renewal date.

Refunds: We offer a 14-day money-back guarantee for first-time subscribers. After 14 days, refunds are provided at our discretion.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

  • Uninterrupted or error-free operation
  • The accuracy of image metadata or keywords
  • The copyright status of any particular image
  • That the Service will meet your specific requirements

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMAGE NEGATIVA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Image Negativa LLC from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Bernardino County, California.

12. Changes to Terms

We may modify these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be notified via email or prominent notice on the Service.
